Effective date: 22 July 2026 Version: 1.0 Service provider: GuildWard, 1046 Budapest, Klauzál utca 9.
1. Introduction and agreement
These Terms govern use of GuildWard. By signing in with Discord or otherwise using the Service, you agree to these Terms. If you accept them for an organization, you represent that you have authority to bind that organization. Consumer rights that cannot lawfully be waived remain unaffected.
2. Definitions
“Customer” means the person or organization using GuildWard; “Administrator” means an authorized Customer user; “Member” means a Discord user subject to a configured entrance; “Service” means currently available GuildWard functionality; and “Discord” and “Turnstile” are third-party services operated by their respective providers.
3. Service-provider details
Provider: GuildWard Registered office: 1046 Budapest, Klauzál utca 9., Hungary These Terms and the publicly available legal pages on the GuildWard website constitute GuildWard’s statutory information for the Service.
4. Description and scope of GuildWard
GuildWard is a Discord access, verification and trust operations platform. The Service includes the features that are actually available in the product at the time of use. Marketing descriptions of future capabilities are not contractual commitments until those capabilities are enabled for the Customer.
5. Customer eligibility and authority to install the bot
Customers must have legal capacity to contract under Hungarian law (generally 18 years of age) and authority to administer each connected Discord guild, install the bot, grant permissions and configure member processing.
6. Account registration and Discord authentication
Administrator access uses Discord OAuth. Customers must keep their Discord account secure, maintain accurate information and report suspected compromise. GuildWard never asks for a Discord password or QR-code login.
7. Organizations, roles and authorized administrators
The Customer controls whom it appoints to GuildWard roles and remains responsible for their actions. GuildWard may enforce organization and guild scope, recent authentication and least-privilege access.
8. Discord installation and third-party platform dependency
Operation depends on Discord APIs, Gateway availability, scopes, bot presence, permissions and role hierarchy. Discord may change or interrupt its services. GuildWard does not guarantee Discord availability or permission continuity.
9. Verification configuration and customer responsibility
Customers choose lawful roles, channels, support instructions and related configuration. They must test configuration, communicate rules to Members and provide a support route inside Discord. GuildWard may refuse unsafe, deceptive, discriminatory or unlawful configurations.
10. Customer content and custom questions
The built-in self-declared minimum-age field may be enabled by a Customer; it is not identity verification or provider-backed Age Assurance, and GuildWard does not retain the exact birth date. Customers are responsible for necessity, threshold selection, notices, legal basis, children handling, support and retention. Customers must not request identity-document uploads through unsupported GuildWard forms.
11. Prohibited configurations and unlawful use
Customers must comply with the Acceptable Use Policy. Prohibited uses include credential collection, malware, unlawful discrimination, deceptive branding, excessive personal-data collection, illegal marketplaces and unsupported high-risk eligibility decisions.
12. Subscription plans, fees and taxes
GuildWard currently offers access without in-product checkout. Marketing pages may describe intended plan packaging. Those descriptions are informational until paid checkout is enabled. No fees are charged through GuildWard checkout under these Terms today. If paid plans are introduced, prices, currency, invoicing and tax treatment will be shown before purchase and these Terms will be updated.
13. Free service terms
Where the Service is provided free of charge, GuildWard may apply documented limits and may change or end free access on reasonable notice, subject to mandatory law. Database plan labels do not themselves create paid entitlements.
14. Trial, beta and staging features
Beta, trial and experimental functionality may be incomplete, change or experience errors. Customers must not rely on unfinished features for critical community operations.
15. Usage limits and fair use
GuildWard may apply reasonable limits needed for security, Discord platform constraints and fair operation, including rate limits on verification attempts and related actions.
16. External paid providers and usage-based charges
SMS, KYC, age assurance and other paid identity providers are not part of the current Service. If introduced later, GuildWard will disclose providers, charges and activation controls before use.
17. Billing, renewal and cancellation
No GuildWard billing, renewal, grace period, cancellation or refund process is active because paid checkout is not offered. When paid subscriptions become available, renewal, cancellation, refund and failed-payment rules will be published before the first charge.
18. Consumer-specific information where applicable
GuildWard is primarily intended for community operators acting in a business or organizational capacity. If a consumer uses the free Service, mandatory Hungarian and European Union consumer protections that cannot be waived remain available. Pre-contract information for paid consumer contracts will be provided before any paid consumer checkout is enabled.
19. Right of withdrawal where applicable
Because the current Service is provided free of charge and without a distance sales checkout for paid digital services, no paid digital-content withdrawal flow is active. Mandatory withdrawal rights for any future paid consumer contracts will be described before those contracts are offered. Nothing in these Terms limits withdrawal rights that cannot lawfully be excluded.
20. Service availability, maintenance and changes
GuildWard may maintain, secure and change the Service. No uptime guarantee or service level applies unless agreed separately in writing. Reasonable notice will be used where practicable, subject to urgent security or third-party events.
21. Security responsibilities
GuildWard applies technical and organizational safeguards appropriate to the Service. Customers must maintain Discord permissions, secure administrator accounts, review alerts and report vulnerabilities in writing to GuildWard, 1046 Budapest, Klauzál utca 9., marked “Security”. No security control eliminates all risk.
22. Suspension and termination
GuildWard may restrict or suspend access for security risk, unlawful use, material breach or platform requirements. Notice and an opportunity to respond will be provided where lawful and practicable. Customers may stop using the Service and disconnect Discord guilds at any time. After termination, GuildWard may delete or anonymize Customer configuration and related records according to the Privacy Policy.
23. Data-protection roles
GuildWard is an independent controller for accounts, authentication, service security and operations, and a processor for Member data handled on Customer instructions. The Privacy Policy and, where executed, a Data Processing Addendum describe those roles in more detail.
24. Confidentiality where appropriate
Each party must protect the other party’s non-public technical and business information using reasonable care and use it only for the relationship, except for information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law.
25. Intellectual property
GuildWard and its licensors retain rights in the Service, software, documentation, branding and improvements. Discord and third-party marks belong to their owners. No implied endorsement is granted.
26. License to use GuildWard
Subject to these Terms, GuildWard grants a limited, non-exclusive, non-transferable and revocable right to use available Service interfaces for lawful internal community operations during the applicable term.
27. Customer branding and submitted content
Customers retain rights in lawful submitted content and grant GuildWard the limited permission needed to host, display and process it for the Service. Customers warrant they have necessary rights in logos, images and text they upload.
28. Feedback
Customers may provide feedback voluntarily. GuildWard may use it to improve the Service without restriction or payment, provided it does not disclose Customer confidential information or personal data contrary to law.
29. Third-party services
Discord and Cloudflare Turnstile have their own terms and privacy practices. GuildWard is not responsible for third-party services beyond responsibility that cannot lawfully be excluded under Hungarian or European Union law.
30. Acceptable Use Policy incorporation
The Acceptable Use Policy forms part of these Terms. If a conflict exists, the specific contractual term prevails unless the Acceptable Use Policy is needed to prevent unlawful or unsafe use.
31. Disclaimers
To the maximum extent lawful, GuildWard is provided on an “as available” basis and does not guarantee that verification identifies a person, predicts behavior, prevents all abuse or operates without interruption. Mandatory consumer guarantees remain unaffected.
32. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded under Hungarian or European Union law, including liability for intentional misconduct, fraud, or death or personal injury caused by negligence where such exclusion is prohibited. Subject to that rule, and to the maximum extent permitted by law:
- GuildWard is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data or business interruption arising from use of the Service;
- for the free Service, GuildWard’s aggregate liability for all claims arising out of these Terms is limited to one hundred thousand Hungarian forints (HUF 100,000); and
- mandatory consumer rights remain unaffected.
33. B2B indemnity only where legally appropriate
Business Customers shall indemnify GuildWard against third-party claims arising from unlawful Customer content, unlawful configuration, lack of authority to administer a connected guild, or Member processing instructions that violate applicable law, to the extent those claims are caused by the Customer. This indemnity does not create consumer indemnity obligations.
34. Force majeure
Neither party is responsible for delay caused by events beyond reasonable control—including Discord or Cloudflare outages, war, natural disaster, epidemic, strike or governmental action—to the extent permitted by law, provided reasonable mitigation and notice are used.
35. Notices
Operational notices may be delivered in-product or through Discord-linked account context. Formal legal notices to GuildWard must be sent in writing to 1046 Budapest, Klauzál utca 9., Hungary. Notices are deemed received when delivered to that address, or on the third business day after posting if sent by registered mail within Hungary.
36. Assignment
Customer may not assign these Terms without GuildWard’s prior written consent. GuildWard may assign these Terms in connection with a reorganization, merger or sale of assets, provided the assignee assumes GuildWard’s obligations. Mandatory consumer limitations remain unaffected.
37. Severability
If a term is unenforceable, it will be limited or removed only to the minimum lawful extent and the remainder continues in force.
38. Waiver
Failure to enforce a term is not a waiver. A waiver must be explicit and applies only to the stated circumstance, subject to mandatory consumer law.
39. Governing law
These Terms are governed by the laws of Hungary, without regard to conflict-of-law rules that would refer the matter to another jurisdiction. Mandatory consumer protections in a consumer’s country of residence remain unaffected where applicable.
40. Dispute resolution and competent courts
The parties should first attempt to resolve disputes by writing to GuildWard at 1046 Budapest, Klauzál utca 9. If a dispute remains unresolved, the courts of Budapest, Hungary have jurisdiction, subject to mandatory consumer jurisdiction rules that cannot be waived.
41. Consumer dispute information where required
Consumers in the European Union may also use the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/ and may seek assistance from the competent Hungarian consumer-protection bodies. GuildWard is not obliged to participate in alternative dispute resolution before a specific consumer arbitration board unless mandatory law requires it.
42. Changes to these Terms
Material changes will be published with a new effective date at /terms. For material adverse changes affecting an existing Customer, GuildWard will provide reasonable advance notice where practicable. Continued use after the effective date constitutes acceptance of the updated Terms, except where mandatory law requires affirmative consent or a termination right.
